Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SpikeLabs service, including the SpikeLabs landing site, the SpikeLabs portal at app.spikelabs.app, and the SpikeLabs Telegram bots (collectively, the "Service"). By creating an account, sending /start to the bot, or otherwise using the Service, you agree to these Terms.

1. What the Service is

SpikeLabs is a real-time crypto market signal-detection tool. The Service monitors public market data (price, volume, trade stream) from one or more cryptocurrency exchanges and notifies you when configurable statistical thresholds are crossed.

The Service is not a brokerage, custodian, exchange, investment advisor, financial planner, or fiduciary. The Service does not execute trades, hold your funds, or access your exchange accounts. You retain full custody of your funds at all times.

2. Eligibility

You must be at least 18 years old (or the age of legal majority in your place of residence, whichever is higher) and legally permitted to use the Service in your jurisdiction. By using the Service you represent that you meet these requirements.

3. Your account

The Service supports two sign-in methods: a Telegram-account link (via the SpikeLabs bot) and an email magic link. You are responsible for keeping the underlying account (Telegram or email mailbox), the device you sign in from, and any browser session signed into the portal secure. We will treat any action originating from a properly authenticated session as taken by you.

4. Subscriptions and payment

• One-time top-ups. Every paid plan is a one-time top-up that extends your subscription end-date by a fixed number of days. There is no auto-renewal and no recurring charge.
• No refunds. All payments are final and non-refundable. We do not offer refunds, partial refunds, credits, pro-rata adjustments, or monetary compensation of any kind, for any reason — including, without limitation, unused subscription days, dissatisfaction with the Service, perceived signal quality, trading losses, false positives or missed alerts, downtime, scheduled or unscheduled maintenance, network or third-party-provider issues, payment errors made on your side, or your inability or unwillingness to use the Service.
• Payment methods. We accept Telegram Stars, crypto invoices via CryptoBot, and manual crypto transfers. Each method has its own confirmation flow handled inside the bot.
• Taxes. Any taxes, duties, levies, or similar charges applicable to your purchase or use of the Service in your jurisdiction are your sole responsibility. Prices displayed by the Service are exclusive of such charges unless explicitly stated otherwise.
• Trial. New accounts may receive a free trial period at our discretion. The trial is granted on a per-user basis (one trial per person, regardless of how many Telegram accounts or email addresses you control). We may detect and block attempts to claim multiple trials — including via duplicate accounts, browser or device fingerprinting, payment-method correlation, or other means — and may revoke or refuse a trial without notice. Trial duration and eligibility can change without notice.

5. Acceptable use

You agree not to:

• Scrape, mirror, resell, or redistribute signals, charts, or any output of the Service to third parties.
• Circumvent rate limits, dedup logic, payment requirements, or access controls.
• Use the Service to operate a paid signals channel, copy-trading service, or any product that relies on rebroadcasting our output.
• Attempt to reverse-engineer, decompile, or otherwise extract the underlying detection logic.
• Use the Service for any unlawful purpose or in violation of any applicable law.
• Interfere with, probe, or attack the Service's infrastructure.
• Create or operate more than one account to circumvent free-trial limits, rate limits, payment requirements, suspension, or any other access control.
• Share, sell, lend, transfer, or otherwise make your account accessible to anyone else. Your account is personal and tied to you.

6. Intellectual property

The Service, its source code, design, brand, and all signal-generation logic are owned by the operator of the Service. You receive a limited, non-exclusive, non-transferable, revocable right to access and use the Service for personal use during your active subscription period.

7. Disclaimer — Service provided "AS IS"

The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, uptime, latency, or non-infringement.

We do not warrant that signals will be timely, accurate, profitable, free of false positives, or delivered without delay. Signal detection operates on a best-effort basis and may be affected by exchange downtime, network conditions, infrastructure failures, or maintenance.

8. Limitation of liability

To the maximum extent permitted by applicable law, in no event will the Service, its operators, contributors, or affiliates be liable for any damages of any kind — direct, indirect, incidental, special, consequential, punitive, or exemplary — arising out of or related to your use of (or inability to use) the Service, including without limitation:

• Trading losses or missed profits resulting from acting (or not acting) on a signal;
• Losses caused by delayed, missed, false, or duplicated alerts;
• Losses caused by exchange outages, network failures, or third-party service interruptions;
• Any other financial, business, or personal loss arising from your use of the Service.

Where applicable law does not permit a complete exclusion of liability, our liability is limited to the minimum amount strictly required by such law, in full and final settlement of all claims you may have against the Service, whether brought singly or collectively. We do not, under any circumstances, owe you a refund, credit, or other monetary compensation for fees already paid — see Section 4 (No refunds).

9. Indemnification

You agree to indemnify and hold harmless the Service, its operators, and contributors from and against any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any law or third-party right.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service ends immediately. Sections of these Terms that by their nature should survive termination (e.g., disclaimers, limitation of liability, indemnification) will continue to apply.

11. Modifications to the Terms and the Service

We may modify these Terms at any time. Material changes will be announced via the Service or its official Telegram channels. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

We may also add, change, suspend, or remove features of the Service at any time, with or without notice. Pricing, plan structure, supported markets, and supported signal types may change.

12. Disputes

Before initiating any formal proceeding, you agree to first contact @SpikeLabsSupportBot and attempt to resolve the dispute informally for at least thirty (30) days from the date the issue was first reported.

13. Severability and entire agreement

If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force. These Terms, together with the Privacy Policy and Risk Disclosure, constitute the entire agreement between you and the Service regarding the subject matter.

14. Assignment

You may not assign, transfer, or sublicense your account, your subscription, or any of your rights or obligations under these Terms to any third party. Any attempt to do so is void.

We may freely assign or transfer these Terms, including all rights and obligations under them, in connection with a corporate transaction (such as a merger, acquisition, asset sale, or reorganisation) or to any successor or affiliate of the operator of the Service. Reasonable notice of any such assignment will be provided via the Service or its official Telegram channels.
